These Terms of Use govern your access to the United Tools Platform website and waitlist. UTP is operated by Mudd Ventures.

By using the website or joining the waitlist, you agree to these Terms. If you do not agree, do not use the website or submit information through it.

1. Eligibility

You must be at least 18 years old and legally able to agree to these Terms.

If you use the website on behalf of a company or other organization, you represent that you have authority to act on its behalf.

2. The UTP Waitlist

Joining the waitlist expresses interest in UTP. It does not:

• Create a customer account
• Guarantee access
• Guarantee a particular invitation date
• Reserve specific pricing, credits, features, or availability
• Create an obligation for UTP or Mudd Ventures to provide services

We may determine the timing, order, eligibility, and scope of early-access invitations.

We may change, pause, or discontinue the waitlist at any time.

3. Communications

When you join the waitlist, you agree to receive emails about UTP's development, availability, and launch.

You may unsubscribe from marketing emails at any time. Our use of your information is also governed by the UTP Privacy Policy.

4. Permitted Use

You may use the website only for lawful purposes.

You may not:

• Interfere with the website or its security
• Attempt to gain unauthorized access to systems or information
• Submit false, misleading, fraudulent, or malicious information
• Use automated systems to scrape, overload, or disrupt the website
• Introduce malware or harmful code
• Copy or exploit website content in violation of our rights
• Use the website in a way that violates applicable law

We may restrict access when we reasonably believe these Terms have been violated.

5. Intellectual Property

The website and its content, including UTP's name, branding, interface, copy, graphics, software, concepts, and other materials, are owned by Mudd Ventures or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of any UTP intellectual property to you.

You may view and use the website for its intended purpose. You may not reproduce, distribute, modify, sell, license, or commercially exploit its content without written permission.

6. Feedback

If you voluntarily provide feedback, suggestions, or ideas about UTP, you grant Mudd Ventures permission to use them without restriction or compensation.

This does not give us ownership of your pre-existing intellectual property or confidential business information.

Do not submit confidential information unless we have agreed in writing to receive it confidentially.

7. Third-Party Services

The website may rely on or link to third-party services. Those services are governed by their own terms and privacy practices.

Mudd Ventures is not responsible for third-party websites, services, content, availability, or security.

8. Changes and Availability

UTP is under development. Information on the website may describe planned, experimental, or unreleased functionality.

Features, workers, integrations, pricing concepts, credits, timelines, and availability may change before launch. Website content should not be treated as a guarantee or binding commitment unless expressly stated in a separate written agreement.

We may modify, suspend, or discontinue any portion of the website without notice.

9. Disclaimers

The website and waitlist are provided "as is" and "as available."

To the fullest extent permitted by law, Mudd Ventures disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.

We do not guarantee that the website will be uninterrupted, error-free, secure, or free from harmful components.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law, Mudd Ventures and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the website or waitlist.

Where liability cannot be excluded, our total liability relating to the website or waitlist will not exceed $100.

These limitations do not apply where prohibited by law.

You may stop using the website at any time.

We may suspend or terminate access if we reasonably believe you have violated these Terms, harmed the website, or created legal or security risk.

Sections that logically should continue after termination will remain effective, including intellectual property, disclaimers, liability limitations, and applicable law.

Continued use of the website after an update means you accept the revised Terms.
